Section 9.35

Subd 1. AUTHORITY AND ORGANIZATION. Tracy Medical Clinic is a self-governing agency of the City of Tracy created by and with specific powers and duties conferred by City Charter Chapter XIII which further authorizes additional powers and duties as prescribed by Ordinance.


Subd 2. MEDICAL CLINIC BOARD.
 Tracy Medical Clinic shall be governed by a Medical Clinic Board of Directors which shall have complete and exclusive powers of control and management of all Medical Clinic operations and facilities.


Subd 3. APPOINTMENT.
 The Medical Clinic Board shall consist of five (5) or seven (7) members as determined by the City Council. Board members shall be appointed by a majority vote of the City Council. Board members shall serve without compensation with reimbursement for expenses. No member of said board shall be an employee or a board member at Tracy Municipal Hospital. Other employees of the City of Tracy, including Tracy Medical Clinic employees, are eligible to be appointed board members.


Subd 4. TERM, VACANCY OF OFFICE AND REMOVAL.
 Board members shall be appointed for three-year terms from March 1st following the appointment and serve no more than three (3) consecutive terms. The initial Board of Directors shall consist of the persons appointed by the City Council who shall serve until the times indicated by the City Council at the time of their appointment. Board members shall be eligible for reappointment after a one-year absence. Vacancies in the board shall be filled by City Council appointment for the remainder of the unexpired term. Any member of the board may be removed for cause upon an affirmative vote of five (5) members of the City Council.


Subd 5. POWERS, MEETINGS AND BY-LAWS.
 Nothing in this Ordinance shall be construed to vest any power in the board to construct any additional medical clinics, additions to medical clinics, appurtenant medical clinic structures or to levy and impose taxes in the City of Tracy, such powers begin reserved to the City Council. The board shall hold regular meetings not less than once each month with a majority of the board constituting a quorum. At the first regular meeting, the board shall elect a chairperson and vice-chairperson from the board and adopt by-laws. The board shall also elect a secretary-treasurer from the board or otherwise. The officers shall have such duties and hold their offices as the by-laws shall prescribe.


Subd 6. MEDICAL CLINIC FUNDS: REVENUES & EXPENDITURES.
All funds received from Medical Clinic operations, contributions thereto and tax levies for Medical Clinic purposes, except tax levies for bond service, shall be deposited and kept in a separate account to be used solely for Medical Clinic purposes. The board shall have authority to expend money therefrom in compliance with the provisions of the Minnesota Uniform Contracting Law.


Subd 7. BONDS.
 All Medical Clinic members or hospital employees entrusted with custody or control or Medical Clinic funds shall be bonded as determined adequate by the Medical Clinic Board. Bond costs shall be a Medical Clinic expense.


Subd 8. RULES AND REGULATIONS.
 The Medical Clinic Board shall adopt all necessary rules and regulations for procedure, management and operation of the Medical Clinic, including but not limited to the staff, employees, grounds, appurtenances, equipment and material of every nature relating to said operation.


Subd 9. ANNUAL AUDIT AND REPORTS. 
The board shall submit to the City Council and annual audit of the Medical Clinic as made by a licensed accountant or a certified public accountant and other reports as requested by the City Council.


Subd 10. FISCAL YEAR.
 The fiscal year shall begin on the first day of July and end on the last day of June in each year.


Subd 11. EFFECTIVE DATE OF ORDINANCE.
 This Ordinance shall become effective 30 days after passage and publication.
